"We", "us" and "our" mean ECTELECO CARRIER MOBILE LIMITED. "You" means the business, organisation or public body that opens the account or signs an order form. The service is for business use only: by accepting these terms you confirm that you are acting for a business and that you have authority to bind it. These terms do not apply to consumers.
- These Terms of Service.
- The Acceptable Use Policy, which sets out what the service may not be used for.
- The Data Processing Agreement, which governs personal data we process for you.
- Any order form, rate sheet or service-level schedule we sign with you (an "Order Form").
If they conflict, the Order Form prevails, then the Data Processing Agreement (for anything about personal data), then these terms, then the Acceptable Use Policy. You accept the agreement when you create an account, sign an Order Form or first use the API, whichever is earliest. How we handle personal data about you and your staff is described in our privacy notice.
The service is the Elmetry client console, the Elmetry API and the product lines enabled on your account. Today that is chiefly classification checks: you submit Sender IDs or landing URLs and we return how messaging platforms' spam systems classify them at the time of the check. Other product lines described on this website are available only where they are enabled on your account or in an Order Form.
A check result reports the classification a third-party system returned at that moment. Those systems change their decisions without notice, so a result is not a promise that a message will or will not be delivered, filtered or labelled later, and it is not legal advice.
We may change or improve the service. If a change materially reduces a feature you pay for, we will tell you in advance by email or in the console. Features marked beta or preview are provided as they are and may be withdrawn.
Section 4
Accounts, team members and API keys
You are responsible for everything done with your account and its keys.
- Give us accurate account details and keep them up to date.
- Each person who uses the console needs their own login. A project admin can invite and remove team members and is responsible for who has access.
- Keep passwords and API keys secret. An API key is shown only once when it is created; never put it in front-end code, mobile apps, URLs or public repositories.
- You are responsible for all activity carried out with your account, your team members' logins and your API keys until you tell us of a compromise or revoke the key in the console.
- Tell us at [email protected] as soon as you suspect unauthorised access. We may revoke a key or suspend a login that we reasonably believe is compromised, and will tell you when we do.
- The API is rate limited per key (currently 60 requests per minute with a burst of 20, as published in the developer documentation). Do not try to get around the limits, for example by spreading traffic over many keys.
You keep all rights in the Sender IDs, URLs, phone numbers, message content, files and other material you submit ("Customer Data"). You give us the right to host, copy, transmit and process Customer Data only as needed to provide, secure and support the service for you, including submitting the item being checked to the classification system you asked us to query.
You are responsible for Customer Data and confirm that you have the rights, notices and lawful basis needed for us to process it. Where Customer Data includes personal data, we process it as your processor under the Data Processing Agreement.
We may compile statistics about how the service is used (for example volumes, error rates and response times) that do not identify you or any individual, and use them to run and improve the service.
Prices and charges
- Prices are in US dollars per check, shown in the console under Billing, unless your Order Form sets other prices or currencies.
- A check is charged when it is submitted. If your balance does not cover a whole submission, the submission is refused and nothing is charged.
- If a check fails without producing a result, its price is returned to your balance automatically. Retrying a check that was refunded charges it again at its original price.
- We may change prices. A new price applies only to checks submitted after the change, and we will show it in the console before it applies.
- Prices exclude VAT and other taxes, which we add where the law requires.
Topping up
- Card: through our payment processor's hosted checkout. The balance is credited when the processor confirms the payment.
- USDT on the TRON network (TRC20): send only to the deposit address the console issues for that top-up. We credit the amount that actually arrives, on the terms in Paying in USDT.
- Bank transfer: credited when the funds reach our account and are matched to your account.
- Balance is held as credit for the service. It earns no interest and cannot be transferred to another account.
Refunds and invoiced accounts
- When you close your account, you can ask us to refund unused balance, less any amounts you owe us. We refund card payments to the original card, USDT payments as Paying in USDT describes, and other payments to an account you nominate once we have verified it.
- If a card payment is refunded or disputed outside the console, we may deduct it from your balance.
- Where an Order Form provides for invoicing, invoices are payable within 30 days of the invoice date unless the Order Form says otherwise. We may charge statutory interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998, and may suspend the service if an invoice is more than 14 days overdue after we have reminded you.
Network, token and address
- We accept only the USDT token issued by the official USDT contract on the TRON network (TRC20). We do not accept USDT on any other network, or any other token. The token contract is not a payment address: never send funds to it.
- Each top-up order in the console has its own deposit address. Transfer the USDT to that address only, and only from a wallet you or your business control. Do not share the address or use it for anyone else's payments.
- A transfer on another network, in another token or to any other address cannot be credited, and we are not able to recover it.
- Network fees for your transfer are set by the TRON network and paid by you when you send. We do not charge a fee of our own for USDT top-ups.
Amount and when it is credited
- A top-up order is for an amount in US dollars. The console shows the USDT to send, at 1 USDT to 1 US dollar.
- We credit your balance once the transfer is confirmed on the TRON network and our monitoring has picked it up, which normally takes a few minutes. We credit the USDT that actually arrived at 1 USDT to 1 US dollar, rounded down to the nearest cent.
- If less arrives than the order amount, we credit what arrived and the order is closed; to add the difference, create a new top-up. If more arrives, we credit the full amount that arrived.
- An order is open for a limited time, shown in the console (normally one hour). A transfer to the order's address after that is still credited automatically if it arrives within 30 days of the order. For a transfer that arrives later, write to [email protected] with the transaction ID and we will credit it once we have matched it to your account.
Refunds
- USDT top-ups are not refunded automatically. Where we agree to refund balance that came from a USDT payment, we send USDT on the TRON network only to the address the payment came from, after checking that you control it, less the network fee for the refund transfer. At our discretion we may instead refund by another method, such as a bank transfer to an account in your business's name.
- We refund the US dollar amount of the balance, not a number of tokens you originally sent.
Anti-money laundering checks
- Before crediting or refunding a USDT payment we may ask for information about your business, the wallet the payment came from and the source of the funds, and may hold the payment until we receive it.
- We may refuse, hold or return a payment, or suspend the account, where we are required to by law or reasonably suspect fraud, money laundering or a breach of sanctions, and we may report it to the authorities. Where the law prevents it, we may not be able to tell you why.
We aim to keep the console and API available at all times, but we do not promise uninterrupted service unless your Order Form includes a service-level agreement. Where it does, the service credits in that agreement are your sole financial remedy for missing the service level. We publish incidents and planned maintenance at status.elmetry.com and try to schedule maintenance for quiet periods.
The service relies on networks, messaging platforms and classification systems that we do not control. We are not responsible for their availability or decisions. Support is by email at [email protected] during Mon–Fri, 08:00–18:00 GMT.
Section 9
Acceptable use
The service must not be used to send, test or disguise unwanted or unlawful messages.
You must comply, and make sure your team members and anyone else you let use the service comply, with the Acceptable Use Policy and all laws that apply to your messaging, including PECR, UK GDPR, the Fraud Act 2006 and the rules of each destination country and network.
We and our licensors own all rights in the service, the software, the documentation and our trade marks. You get a non-exclusive, non-transferable right to use them during the agreement for your internal business purposes. You may use check results in your own operations and share them with your own customers as part of your services, but you may not resell access to the service or build a competing data set from it without our written agreement.
If you send us suggestions or feedback, we may use them freely without obligation to you.
Each party will use the other's confidential information only to perform the agreement, protect it with at least reasonable care, and disclose it only to staff, group companies, subcontractors and advisers who need it and are bound by similar duties, or where the law or a regulator requires it. This does not apply to information that is or becomes public through no fault of the recipient, was already known to it, or is independently developed. Customer Data is your confidential information. These duties last for five years after the agreement ends, and for as long as the information remains a trade secret.
Each party promises that it has the power to enter into the agreement. We promise to provide the service with reasonable skill and care. You promise that your use of the service and Customer Data comply with the agreement and the law.
Apart from these promises and any that cannot be excluded by law, the service is provided as it is. We give no other warranty, express or implied, including that the service will be error-free, that check results will be complete or accurate, or that the service is fit for a particular purpose.
Section 13
Limits of liability
Nothing here limits liability that the law does not allow to be limited.
Nothing in the agreement limits or excludes either party's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded under the law of England and Wales. Nothing limits your obligation to pay fees.
Subject to that, neither party is liable for loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss, however it arises.
Subject to the above, each party's total liability arising from or in connection with the agreement in any 12-month period is limited to the fees you paid or were due to pay us in the 12 months before the event giving rise to the claim. This cap does not apply to your liability under the indemnity in this section.
You will indemnify us against claims, fines and reasonable costs brought against us by third parties, networks or regulators to the extent they arise from Customer Data or from your breach of the Acceptable Use Policy.
- You can stop using the service at any time and close your account by writing to [email protected]. Any minimum term in an Order Form still applies.
- We can end the agreement for any reason on 30 days' notice, and will refund unused prepaid balance when we do.
- Either party can end the agreement immediately by notice if the other commits a material breach that is not fixed within 14 days of being told about it, or becomes insolvent.
- We may suspend an account, a team member or an API key immediately, without ending the agreement, if we reasonably believe it is being used in breach of the Acceptable Use Policy, puts the service or other customers at risk, or if payment is overdue. We will tell you why, and restore access once the issue is resolved.
- When the agreement ends, your access stops. We delete or return Customer Data as the Data Processing Agreement sets out, and keep billing records for as long as the law requires. Sections on fees owed, confidentiality, liability, and governing law survive.
We may update these terms. For a material change we will give account holders at least 30 days' notice by email or in the console before it takes effect, except where a change is required sooner by law. If you do not accept a change, you can close your account before it takes effect and we will refund unused prepaid balance. Continuing to use the service after that date means you accept the new version. The terms in a signed Order Form change only if both parties agree in writing.
- Notices: we send notices to the email address on your account. You send notices to [email protected] or by post to our registered office.
- Assignment: you may not transfer the agreement without our consent. We may transfer it to another member of our group or to a buyer of our business, and may use subcontractors, remaining responsible for them.
- Force majeure: neither party is liable for delay or failure caused by events beyond its reasonable control, other than failure to pay.
- Entire agreement: the agreement is the whole agreement between us about its subject and replaces earlier discussions. Neither party relies on any statement not written in it, but this does not limit liability for fraud.
- Third parties: no one other than you and us has any right to enforce the agreement under the Contracts (Rights of Third Parties) Act 1999.
- If a court finds part of the agreement unenforceable, the rest continues. Not enforcing a right straight away does not waive it.
The agreement, and any dispute or claim arising out of or in connection with it or its subject matter (including non-contractual disputes or claims), is governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
